Genesis Global Trading, part of the now-bankrupt Genesis Global Holdco LLC, closed its U.S. spot crypto trading operations in September and is in the process of winding down. As part of its settlement with the New York State Department of Financial Services, the trading unit will surrender its BitLicense, which allowed it to operate a crypto business in New York, the regulator said in a statement Friday.

The deals for East Ohio Gas, Questar Gas, and Public Service Co of North Carolina will consist of $9.4 billion in cash and $4.6 billion of assumed debt. U.S.-listed shares of Enbridge fell 6.5% to $33.01 in extended trading after the company also announced a C$4 billion ($2.9 billion) bought-share sale to fund a portion of the deal. The modest improvement in Enbridge's business risk profile is not enough to "offset ongoing pressure on the company's financial profile," said Gavin MacFarlane, vice president and senior credit officer at Moody's, in a statement.

"It is margin accretive to Asset & Wealth Management and allows us to focus on the execution of our premier ultra-high net worth wealth management and workplace growth strategy," said Marc Nachmann, Goldman Sachs global head of Asset & Wealth Management in a statement. The deal marks a win for private equity firm Rhone Capital, which took Fogo de Chão private for $560 million in 2018. The restaurant chain confidentially submitted paperwork for an initial public offering to regulators in late 2021, the sources said. Earlier in August, the Pollo Tropical restaurant chain was sold to Authentic Restaurant Brands for $225 million. Morgan Stanley & Co LLC is serving as financial adviser to Fogo de Chão and Rhône, while Sullivan & Cromwell served as legal counsel.

Charles Schwab to raise $2.5 bln through debt offering

May 18 (Reuters) - Brokerage firm Charles Schwab Corp (SCHW.N) said on Thursday it was looking to raise up to $2.5 billion through a debt offering. The company will raise the debt in two parts via notes due in 2029 and 2034. The disclosure comes a day after another filing with the U.S. Securities and Exchange Commission, in which the brokerage firm said it would use the proceeds for "general corporate purposes." Last month, Schwab reported first-quarter profit ahead of analysts' expectations, boosted by growth in interest income. BofA Securities, Citigroup, Credit Suisse, Goldman Sachs & Co LLC, J.P. Morgan and Wells Fargo Securities are the joint book-running managers for the offering.
May 14 (Reuters) - ONEOK Inc (OKE.N) agreed on Sunday to buy U.S. pipeline operator Magellan Midstream Partners (MMP.N) in a cash-and-stock deal valued at about $18.8 billion including debt, bringing natural gas-focused ONEOK into transporting refined products and oil. The deal will give ONEOK, until now a transporter of natural gas liquids and natural gas, access to Magellan's refined products and crude oil transportation business. The combined company will have 44% of its business in NGLs, and 21% in refined products, according to a presentation. The deal comes as U.S. natural gas prices have struggled this year because of oversupply concerns. Crude prices have traded off in 2023 on potential recession fears, although not as badly has natural gas.
Regional bank shares stretched gains from a rebound on Friday, with PacWest Bancorp (PACW.O) jumping 33% premarket after the company announced quarterly dividend. Shares of such banks tumbled for much of last week on worries tied to the collapse of First Republic Bank. Mall of America Wins Supreme Court Case Over Sears Lease

The U.S. Supreme Court on Wednesday ordered an appeals court to review Mall of America’s dispute with the former chairman of Sears Holdings Corp. over a $10-a-year store lease, potentially opening the door for landlords or vendors to challenge the sale of bankrupt businesses. The justices unanimously ruled against Transform Holdco LLC, the real-estate company backed by former Sears Chairman Eddie Lampert that purchased some of the best-performing Sears and Kmart stores out of chapter 11 in 2019. Transform had argued that a bankruptcy provision protects asset buyers from such disputes to encourage them to close on sales.
In a 9-0 ruling written by Justice Ketanji Brown Jackson, the Supreme Court overturned a lower court's decision against MOAC Mall Holdings LLC, the parent company of the mega-mall located in Bloomington, Minnesota. The lease provided Sears with a three-story, 120,000-square foot (11,000 square meters) location at the mall for a rent of just $10 a year. Mall of America went to court to try to stop the lease transfer during the Sears bankruptcy process. Circuit Court of Appeals found in 2021 that bankruptcy law does not allow for appeals of court-approved bankruptcy sales. While bankruptcy law limits the ability of courts to unwind a sale after appeal, it does not prevent appeals entirely, the Supreme Court ruled.

The NI deal is expected to close in the first half of Emerson's fiscal 2024. Two Pennsylvania nursing facilities were found to have denied proper overtime pay to 231 workers. Spring Creek and Franklin Center failed to include the incentives in their pay rate for overtime. A judge ordered two companies to pay 231 nurses $256,684 in back wages and an equal amount in liquidated damages, equating to $513,368, per the Department of Labor. The investigation found that nursing facilities paid non-discretionary bonuses to nursing staff but failed to include incentives in their pay rate when calculating overtime rates. Spring Creek and Franklin Center didn't immediately respond to a request for comment by Insider.
